不動産関連の英語を、英語で調べました。
単なる日本語訳で覚えるだけではなく、英語を英語で調べることにより、また違った見方、理解ができると思います。
この記事では、英語で不動産関連の契約を行う時に役に立つ用語のうち、基本的な用語である「契約」について調べました。
目次
1.日本語の定義
日本語の契約の定義を調べると、色々と検索されますが、不動産の契約、という意味では、次の定義が分かり易いと思います。
１ 二人以上の当事者の意思表示の合致によって成立する法律行為。
２ 約束を取り交わすこと。また、その約束。

「意思表示の合致」というのは、つまり、契約書にサインしなくても、会話の中で契約する、と言えば、それは契約として認められる、ということです。
(必ず、契約書が必要ではない、ということです。)
「法律行為」とは、難しく言えばいくらでも難しく言えるのですが、要は、法律ルールによって守られたり、反対に罰を受けたりする対象、ということです。
契約、と認められれば、法律ルールに従わなければ罰を受けるかもしれません。
反対に、法律ルールに従わない人に対して、自分を守ってくれることもあります。
2.英語の定義
日本語では「売買契約」や「賃貸借契約」、「媒介契約」のように、「契約」という言葉を使いますが、英語では2パターンの言い方があります。
「agreement」と「contract」です。
例えば、売買契約書のことを、
「purchase and sales agreement」
と言います。
また、賃貸借契約書のことは、
「lease agreement」と言ったり、
「lease contract」と言ったりします。
一方で、「契約日」のことは、
「date of contract」
または、
「contract date」と言います。
「agreement」と「contract」に違いはあるのでしょうか。

2-1.agreementの定義
② when people have the same opinion as each other
③ when someone says yes to an idea, plan, suggestion etc
④ an official document that people sign to show that they have agreed to something
不動産の契約という意味では、①の「made by two or more people, companies, organizations etc」という点と、④の「an official document」という定義が分かりやすいです。

2-2.contractの定義
① an official agreement between two or more people, stating what each will do
② → subject to contract
if an agreement is subject to contract, it has not yet been agreed formally by a contract
③ an agreement to kill a person for money
④ a formal written agreement between two or more people or groups which says what each must do for the other, or must not do
⑤ an agreement to deliver a type of basic goods or material at a particular price and time in the future
一方、contractの定義では、誰がするのか、という点では「between two or more people or groups」であり、agreementと同じです。
また、contractの定義の中に「agreement」とあるように、根本的な点ではcontractとagreementは同じ意味のようです。
ただ、ニュアンスが異なる点があります。
それは、agrermentの中でも「official」なものであること、「formal」であり「written」されたものであること、また内容については「must」もしくは「must not」です。
これだけ見ても、agreementよりも、contractの方がお堅い、厳しいイメージがあります。
2-3.agreementとcontractの違い
先ほどの英語の定義もそうでしたが、検索サイトなどで調べる限り、agreementは口頭含んだやや広い概念であり、contractはagreementの中でも正式な文書で使われ、さらに契約の拘束力が強い、というイメージです。
私も英文の不動産関連の契約書を見ていますが、agreementという表記が多いです。
基本的には、agreementでもcontractでも、どちらでも契約には使用されていても問題ないようです。
ただ、固くて、よりフォーマルなのはどちらか、というとcontractである、と解説しているサイトが多いです。
日本で言うなら必ず書面での契約が必要とされる定期借地契約などはcontract、通常の賃貸借はagreement、というイメージで良いかと思います。
2-4.参考サイト

オフィスや住宅、倉庫の賃貸借契約書のパターンが多くありますがいずれもagreementです。
ただ、清掃業務の契約についてはhousekeeping contractと、contractが使われています。
こちらのサイトでは、日本で言う仲介業者との媒介契約書についてもagreementが使われています。
こちらのサイトでは売買契約書をpurchase agreementとして記載しています。
こちらのサイトでは、不動産関連だけでなく、様々な契約書のテンプレートを下記のようなタイトルで紹介しています。
「real estate contract」として紹介しているサイトです。
また、英語のサイトでも、agreementでもcontractの違いについて解説されています。
内容としては、日本語サイトでの解説と同じく、次のような特徴が解説されています。
・書面か口頭か：agreementは書面の必要なし、contractは書面が多い
・Legal obligation：agreementはなし、contractは有り
・範囲(scope)：agreementがwide、contractはnarrow
次のサイトは、contractがどのような時に使われるのか、などについて解説していて、勉強になります。

3-1.deed
英語の定義です。
・a formal written document that is a record of an agreement, especially one relating to property
「formal」というあたり、agreementよりは、contractに近い意味合いと思われます。
ただし、下記サイトによれば、所有権(ownership)を対象としたものではなく、「title」を対象とする「legal document」のようです。
3-2.binding agreement

3-3.deal
英語の定義です。
・an agreement or arrangement, especially one that involves the sale of something
dealの定義の中に「agreement」とあるように、どちらも意味は同じですが、一般的にagreementは、businessなどの、よりformalな場面で使われ、dealは友人同士の勝負など、formalでない場面でも使われるようです。
businessでは使えないかと言うとそうではなく、「a good deal on their real estate purchase」や「steps to closing a real estate deal」というような使われ方をされています。
